1. Agreement to Terms

By accessing or using PeRP! ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and PeRP! regarding your use of the Service.

2. Description of Service

PeRP! is an organization and collaboration platform that helps you manage different areas of your life, including:

• Personal and group contexts (sports teams, family, hobby clubs, businesses)
• Note-taking and document management
• Task tracking and project management
• Contact management and communication
• Collaboration tools for teams and organizations

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

To use PeRP!, you must create an account by providing:

• A valid email address
• Your full name
• A unique username
• A secure password, or sign in with a third-party identity provider

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

3.3 Account Accuracy

You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

3.4 Age Requirement

You must be at least 13 years old to use PeRP!. If you are under 18, you must have permission from a parent or guardian.

4. Acceptable Use Policy

Your use of PeRP! is subject to our Acceptable Use Policy, which provides detailed guidelines on appropriate and prohibited uses of the Service. In summary, you agree NOT to use PeRP! to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful software
• Harass, abuse, threaten, or intimidate other users
• Spam or send unsolicited communications
• Impersonate any person or entity
• Collect or harvest data from other users without consent
• Interfere with or disrupt the Service or servers

5. User Content

5.1 Your Content

You retain all rights to the content you create, upload, or store in PeRP! ("Your Content"). This includes notes, documents, tasks, contacts, and any other information you add to the Service.

5.2 License to PeRP!

By uploading Your Content, you grant PeRP! a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. We will not share, sell, or use Your Content for any other purpose without your permission.

5.3 Content Responsibility

You are solely responsible for Your Content and the consequences of posting or publishing it. You represent that you own or have the necessary rights to all Your Content.

5.4 Content Backup

While we implement backup systems, you are responsible for maintaining your own backups of important content. We are not liable for any loss of Your Content.

6. Intellectual Property

6.1 PeRP! Ownership

The Service, including its design, features, graphics, code, and all related intellectual property, is owned by PeRP! and protected by copyright, trademark, and other laws.

6.2 Trademarks

PeRP!, the PeRP! logo, and other marks are trademarks of PeRP!. You may not use these trademarks without our prior written permission.

6.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or decompile any part of the Service
• Remove or modify any copyright or proprietary notices
• Use the Service to create a competing product

7. Privacy and Data Protection

Your use of PeRP! is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Subscriptions and Payments

8.1 Free Service

PeRP! is currently offered free of charge. We reserve the right to introduce paid features or subscriptions in the future.

8.2 Future Paid Features

If we introduce paid features:

• We will provide advance notice
• You can choose whether to subscribe or continue with free features
• You may cancel your account at any time if you disagree with the pricing

8.3 Advertising

As stated in our Privacy Policy, we may introduce advertising in the future. We will notify users before implementing any ads.

9. Termination

9.1 By You

You may terminate your account at any time through the account settings. Upon termination:

• Your access to the Service will cease immediately
• Your Content will be deleted within 30 days
• Some anonymized usage data may be retained for analytics

9.2 By PeRP!

We may suspend or terminate your account if:

• You violate these Terms
• You violate our Acceptable Use Policy
• Your account has been inactive for an extended period
• We are required to do so by law

We will provide reasonable notice before termination unless immediate action is required for security or legal reasons.

9.3 Effect of Termination

Upon termination, all licenses and rights granted to you will immediately cease. Sections of these Terms that by their nature should survive termination will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

PeRP! disclaims all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Uninterrupted, secure, or error-free operation
• Accuracy, reliability, or completeness of content
• Freedom from viruses or harmful components

You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PeRP! SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Damages arising from your use or inability to use the Service
• Unauthorized access to or alteration of your content
• Third-party conduct or content on the Service

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months before the claim (currently €0 for free accounts).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PeRP!, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Content

13. Changes to Terms

We may modify these Terms from time to time. When we do:

• We will update the "Last Updated" date at the top of this page
• For significant changes, we will notify you via email or in-app notification
• Changes will take effect 30 days after notification
• Your continued use of the Service after changes constitutes acceptance

If you do not agree to the modified Terms, you must stop using the Service and may delete your account.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• First, good faith negotiation between the parties
• If negotiation fails, mediation in the Netherlands
• If mediation fails, the courts of the Netherlands shall have exclusive jurisdiction

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PeRP! regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
